    Nvidia Announces $12.93 Billion Acquisition of Hugging Face

    SANTA CLARA, CALIFORNIA / RankWire.AI / – Nvidia has reached an agreement to acquire Hugging Face in a deal valued at approximately $12.93 billion. The final deal was signed on September 2, 2026. Nvidia will transfer around $11.9 billion to Hugging Face shareholders, with adjustments customary in such transactions. Additionally, the deal includes up to about $1 billion in equity-based retention incentives for eligible employees. Both companies anticipate completing the acquisition in the first half of 2027 once all necessary approvals are obtained.

    Hugging Face is a key platform provider for artificial intelligence models, datasets, software libraries, and developer tools. Nvidia reports that the platform serves over 18 million developers, researchers, and creators. It hosts more than 3 million models and approximately 500,000 datasets, and offers access to over 1 million applications used for AI development. The platform is utilized by more than 200,000 companies for discovering, testing, customizing, and deploying AI solutions across various computing environments.

    Following the acquisition, both companies stated that Hugging Face will continue to support multiple models, frameworks, cloud services, and hardware platforms. Developers will not be required to use Nvidia hardware to access the platform. The company will maintain its support for open-source and open-weight models from various providers, ensuring ongoing compatibility with diverse cloud services and hardware accelerators. Nvidia also confirmed that the platform will continue to support silicon vendors beyond its own products, in accordance with commitments related to the deal.

    Open AI platform commitments stay in effect

    Hugging Face was founded in 2016 by Clément Delangue, Julien Chaumond, and Thomas Wolf. Over time, the company expanded its offerings to include model hosting, datasets, developer libraries, and cloud-based AI tools. In August 2023, Hugging Face achieved a valuation of $4.5 billion following a funding round that raised $235 million from technology investors. Prior to the acquisition, Nvidia and Hugging Face collaborated on projects connecting developers with Nvidia’s computing infrastructure and software tools.

    Nvidia disclosed the acquisition agreement via a Form 8-K filed with the U.S. Securities and Exchange Commission on September 3, 2026. The filing confirms that the deal is still pending and has not yet closed. Finalization depends on regulatory approvals and standard closing conditions. Nvidia also outlined operational commitments for Hugging Face post-acquisition, including continued access to models and datasets, multi-cloud support, and compatibility with hardware accelerators produced by other semiconductor companies.

    Targeted closing in the first half of 2027

    Nvidia already has a significant footprint within the Hugging Face community. The company reports having published more than 500 models and over 250 open datasets on the platform. Nvidia also supplies software libraries and development tools that developers can adapt for their AI projects. Hugging Face facilitates model discovery, testing, customization, and deployment, serving organizations, research teams, and independent developers working on machine learning, generative AI, and other AI-driven applications.

    The $12.93 billion Nvidia acquisition of Hugging Face will be subject to review until all closing conditions are satisfied. Nvidia anticipates completing the deal during the first half of 2027. Despite the acquisition, Hugging Face will continue supporting developers across various models, cloud platforms, frameworks, and hardware, upholding the commitments announced. The platform will sustain its multi-cloud and multi-accelerator approach until the transaction is finalized. Until then, Nvidia and Hugging Face will operate as separate entities under the terms of the signed agreement.
